Overview
Welcome to Code Interiors. In these Terms of Service, "we", "us" and "our" refer to Code Interiors, a trading name of NZ Interiors Group Limited (New Zealand Company Number 1205865, GST Number 82-090-347). Code Interiors operates this store and website, including all related information, content, features, tools, products and services, to provide you, the customer, with a curated shopping experience (the "Services"). Code Interiors is powered by Shopify, which enables us to provide the Services to you.
The terms and conditions below, together with any policies referenced in them (these "Terms of Service" or "Terms"), describe your rights and responsibilities when you use the Services.
Please read these Terms of Service carefully. They include important information about your legal rights, including warranty disclaimers and limitations of liability, and how these interact with your rights under New Zealand law.
By visiting, interacting with, or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy [LINK]. If you do not agree to these Terms of Service or our Privacy Policy, you should not use or access our Services.
Nothing in these Terms limits or excludes any right or remedy you have under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, or any other New Zealand legislation that cannot lawfully be excluded or limited.
Section 1 — Access and Account
By agreeing to these Terms of Service, you confirm that you are at least 18 years old (the age of majority in New Zealand), or that you have your parent's or legal guardian's consent to use the Services. You consent to any of your minor dependants using the Services on devices you own, purchase, or manage.
To use the Services — including browsing our online store or purchasing any products — you may be asked to provide information such as your email address, billing details, payment details, and shipping information. You confirm that all information you provide is correct, current, and complete, and that you have the right to provide it.
You are solely responsible for keeping your account credentials secure and for all activity on your account. You may not transfer, sell, assign, or licence your account to anyone else.
Section 2 — Our Products
We make every effort to accurately represent our products in our online store. Colours or product appearance may vary depending on the device and screen you use to view them.
We don't guarantee that the appearance of a product purchased by you will exactly match how it appeared on your screen. This does not affect your rights under the Consumer Guarantees Act 1993 in relation to the quality, fitness for purpose, or description of the goods.
Product descriptions may change at any time at our discretion. We reserve the right to discontinue any product, or to limit the quantities we offer to any person, region, or jurisdiction.
Section 3 — Orders
When you place an order, you are making an offer to purchase. We may accept or decline your order at our discretion. Your order isn't accepted until we confirm it, and we must receive and process your payment first. Please check your order carefully before submitting — we may not be able to accommodate cancellation requests once an order is accepted. If we don't accept, change, or cancel an order, we'll try to notify you using the email, billing address, or phone number you provided.
Returns and exchanges are handled in accordance with our Refund Policy [LINK], which is designed to operate alongside — not instead of — your rights under the Consumer Guarantees Act 1993.
You confirm that your purchases are for your own personal or household use, and not for commercial resale or export, unless we've otherwise agreed with you in writing.
Section 4 — Prices and Billing
Prices, discounts, and promotions may change without notice. The price charged is the price in effect when you place your order, as shown in your order confirmation email. Prices are displayed in New Zealand dollars (NZD) and are inclusive of GST unless stated otherwise. Prices do not include shipping, handling, or any customs or import charges unless expressly stated.
Prices in our online store may differ from prices at physical stores or other retailers. From time to time we may run promotions governed by separate terms; if those terms conflict with these Terms, the promotion terms apply.
You agree to provide current, complete, and accurate payment and account information, and to promptly update it — including your email address and card details — so we can process your order and contact you if needed.
You confirm that: (i) any payment information you provide is true, correct, and complete; (ii) you're authorised to use the payment method provided; (iii) charges will be honoured by your card issuer or payment provider; and (iv) you'll pay all charges at the posted prices, including shipping and any applicable taxes.
Section 5 — Shipping and Delivery
Delivery times are estimates only and aren't guaranteed. We're not liable for delays caused by couriers, customs, or events outside our reasonable control. Once we hand products to the carrier, risk in the goods passes to you, though this does not affect any rights you have under the Consumer Guarantees Act 1993.
Section 6 — Intellectual Property
Our Services — including all trademarks, branding, text, images, graphics, product reviews, video, and audio, and their design, selection, and arrangement — are owned by Code Interiors, our affiliates, or our licensors, and are protected by New Zealand and international copyright, trademark, and other intellectual property laws.
These Terms permit you to use the Services for personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works from, publicly display, republish, download, store, or transmit any material from the Services without our prior written consent. Nothing in these Terms grants you any licence or right under any patent, trademark, copyright, or other intellectual property of Code Interiors, Shopify, or any third party, except as expressly stated. All rights not expressly granted are reserved by Code Interiors.
Code Interiors' names, logos, product and service names, designs, and slogans are trademarks of Code Interiors, our affiliates, or licensors. You must not use them without our prior written permission. Shopify's name, logo, and related marks are trademarks of Shopify. All other names, logos, and marks on the Services belong to their respective owners.
Section 7 — Optional Tools
We may give you access to tools provided by third parties as part of the Services. We don't monitor or control these tools.
You acknowledge that we provide access to such tools "as is" and "as available", without any warranties or endorsement, to the extent permitted by law. We have no liability arising from your use of optional third-party tools.
Any use of optional tools is at your own risk. You should review and understand the third-party provider's own terms before using them.
We may introduce new features to the Services from time to time. These will also form part of the Services and are subject to these Terms.
Section 8 — Third-Party Links
The Services may contain links to third-party websites, including embedded third-party content. We don't examine or vouch for the accuracy of third-party materials or websites. If you leave our Services to visit a third-party site, you do so at your own risk.
We're not liable for any harm or loss related to your use of third-party websites, products, or services. Please review third-party terms and privacy practices before transacting with them. Direct any complaints about third-party products or services to that third party.
Section 9 — Relationship with Shopify
Code Interiors is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make through our store are made directly with Code Interiors. By using the Services, you acknowledge that Shopify isn't responsible for any aspect of sales between you and Code Interiors, including any injury, damage, or loss resulting from purchased products or services. You release Shopify and its affiliates from all claims, damages, and liabilities arising from your purchases and transactions with Code Interiors.
Section 10 — Privacy Policy
All personal information we collect through the Services is handled in accordance with our Privacy Policy [LINK] and the New Zealand Privacy Act 2020. Certain personal information may also be subject to Shopify's Privacy Policy, available at https://www.shopify.com/legal/privacy/app-users. By using the Services, you confirm you've read both.
Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services to help us provide and improve them. Information you submit may be transmitted to and shared with Shopify and other third parties, including some located outside New Zealand, to provide services to you. Section 11 — Feedback
If you submit ideas, suggestions, feedback, reviews, or other content ("Feedback"), you grant us a perpetual, worldwide, royalty-free licence to use, reproduce, modify, publish, distribute, and display that Feedback for any purpose, including commercial use — for example, to operate, improve, and promote the Services.
You confirm that: (i) you own or have the rights to the Feedback you submit; (ii) you've disclosed any compensation or incentive you received for providing it; and (iii) your Feedback complies with these Terms. We're under no obligation to keep Feedback confidential, pay for it, or respond to it.
We may, but aren't obliged to, monitor, edit, or remove Feedback that we consider unlawful, offensive, threatening, defamatory, obscene, or otherwise objectionable, or that breaches these Terms or another party's rights.
You agree that your Feedback won't infringe any third party's rights, contain unlawful or abusive content, or include viruses or malware. You won't use a false email address, impersonate someone else, or otherwise mislead us about the origin of your Feedback. You're solely responsible for your Feedback and its accuracy.
Section 12 — Errors, Inaccuracies, and Omissions
Our Services may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, shipping charges, or availability. We reserve the right to correct these, and to change, update, or cancel orders affected by inaccurate information, at any time and without prior notice — including after you've placed your order.
Section 13 — Prohibited Uses
You may only use the Services for lawful purposes. You must not use the Services to: (a) engage in unlawful or malicious activity; (b) breach any New Zealand law or regulation; (c) infringe our intellectual property or that of others; (d) harass, abuse, or harm our staff or any other person; (e) transmit false or misleading information; (f) upload or share material that breaches these Terms; (g) send unsolicited advertising, spam, or chain messages; (h) impersonate any person or entity; or (i) act in a way that restricts others' use of the Services or that we determine may harm Code Interiors, Shopify, or other users.
You also agree not to: (a) upload viruses or malicious code; (b) reproduce, extract, or resell any part of the Services without authorisation; (c) collect or track others' personal information; (d) phish, pharm, or use deceptive tactics; (e) use bots, scrapers, automated data-gathering tools, or AI agents to access the Services without our permission; or (f) bypass or interfere with security or access-control measures we use.
We may suspend, disable, or terminate your account at any time, without notice, if we reasonably determine you've breached these Terms.
Section 14 — Agents
This section applies if you use, allow, or cause an "Agent" — software that takes autonomous or semi-autonomous action on your behalf, including AI agents — to access or interact with the Services.
An Agent must not access or use the Services unless it, at all times: (i) identifies itself as an Agent in the user agent string of any request (e.g. "Agent/[agent name]"); (ii) doesn't conceal that it's an Agent, including by mimicking human behaviour or bypassing CAPTCHAs; (iii) responds truthfully to any prompt asking whether it's human or automated; and (iv) doesn't circumvent any measure we use to control Agent access.
We may limit, including by technical means, how any Agent accesses or interacts with the Services, and may block any Agent at our discretion.
Section 15 — Termination
We may terminate this agreement or your access to the Services, in whole or in part, at our discretion and without notice. You remain liable for all amounts owing up to the date of termination.
The following sections survive termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver, Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provision that by its nature should survive.
Section 16 — Disclaimer of Warranties
Information on the Services is provided for general information purposes only. We don't warrant its accuracy, completeness, or usefulness, and any reliance you place on it is at your own risk, to the fullest extent permitted by law.
Except as expressly stated by us, and subject to your rights under the Consumer Guarantees Act 1993 and Fair Trading Act 1986, the Services and all products offered through them are provided "as is" and "as available", without warranties or conditions of any kind, whether express or implied.
Nothing in this section excludes, restricts, or modifies any guarantee, right, or remedy under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, or any other New Zealand law that cannot lawfully be excluded. If you're acquiring goods or services for business purposes, you agree that the Consumer Guarantees Act 1993 doesn't apply, to the extent permitted under section 43(2) of that Act.
Section 17 — Limitation of Liability
To the fullest extent permitted by law, and subject to Section 16, Code Interiors, our partners, directors, officers, employees, affiliates, agents, contractors, service providers, and licensors — and those of Shopify — won't be liable for any indirect, incidental, punitive, special, or consequential damages, including lost profits, lost revenue, or lost data, arising from your use of the Services or any product purchased through them, whether in contract, tort (including negligence), or otherwise.
Nothing in these Terms limits any right or remedy you have under the Consumer Guarantees Act 1993 or Fair Trading Act 1986 that cannot lawfully be excluded or limited.
Section 18 — Indemnification
You agree to indemnify and hold harmless Code Interiors, Shopify, and our respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities, or claims (including reasonable legal costs) arising from: (1) your breach of these Terms; (2) your breach of any law or a third party's rights; or (3) your access to or use of the Services.
We'll notify you of any claim covered by this indemnity; a delay in notifying you won't reduce your obligations unless it materially prejudices you. We may control the defence and settlement of any such claim at your expense, but won't settle any claim requiring a non-monetary commitment from you without your consent (not to be unreasonably withheld). You'll cooperate with us in defending any indemnified claim.
Section 19 — Severability
If any provision of these Terms is found unlawful, void, or unenforceable, that provision will be enforced to the fullest extent the law allows, and the unenforceable part will be severed. This won't affect the validity of the remaining provisions.
Section 20 — Waiver; Entire Agreement
Our failure to enforce any right or provision of these Terms isn't a waiver of that right or provision.
These Terms, together with any policies we post on this site, form the entire agreement between you and us regarding your use of the Services, and supersede any prior agreements or communications, whether oral or written — including earlier versions of these Terms.
Section 21 — Assignment
You may not transfer or assign these Terms, or any of your rights or obligations under them, without our prior written consent; any attempt to do so is void. We may transfer, assign, or delegate these Terms and our rights and obligations at any time, without notice or consent.
Section 22 — Governing Law
These Terms are governed by the laws of New Zealand. You and Code Interiors agree to submit to the exclusive jurisdiction of the New Zealand courts for any dispute arising from these Terms or your use of the Services.
Section 23 — Headings
Section headings are included for convenience only and don't affect the interpretation of these Terms.

You can review the current version of these Terms at any time on this page.
We may update, change, or replace any part of these Terms at our discretion by posting the updated version on our website. We'll notify you of material changes as required by law, and those changes take effect from the date specified in the notice. Your continued use of the Services after changes are posted means you accept them.
